Technology

Our highly regarded technology team provides specialist advice across a broad spectrum of technologies.

Two thirds of the partners within the team have been nominated in independent directories as experts in their fields so clients can expect the very best technology advice.

We have particular expertise in those technologies that are employed to capture, manage and deliver content and data.

We assist clients on both sides of the negotiating table: pure technology clients on the one side, whose core business is the acquisition and exploitation of proprietary technology; and technology dependent clients on the other, whose business is dependent or heavily reliant upon that technology.

Clients include: radio and television broadcasters, platform providers and interactive television application developers; telecoms operators, mobile phone companies and mobile phone applications developers; music labels and traditional and online music distributors; games developers and online distributors; betting and gaming organisations; business to business software retailers; online financial services providers; ISPs; software and hardware manufacturers; marketing organisations and strategists, and high street retailers.

We provide end-to-end technology services to these clients, which services are always underpinned by the department's significant strength in all aspects of intellectual property. We advise on intellectual property issues, draft technology agreements and provide all associated legal and regulatory advice.

Typical services provided by the technology group include:
  • Bespoke Technology Agreements: bespoke commissioned technology agreements and licences;
  • Licences: standard licence terms, OEM arrangements, End-User licences, Click Wrap and Shrink Wrap licences;
  • Technology Evaluation Agreements: agreements for critical IT systems' outsourcing (software, hardware and all associated technology);
  • Ancillary Arrangements: all agreements ancillary to technology transactions including maintenance and support arrangements, acceptance test procedures, integration services, service level agreements, bespoke modifications, confidentiality agreements, escrow arrangements and agreements with software consultants;
  • Regulatory Advice: all aspects of technology regulation, including data protection, advertising, distance selling, content acceptability;
  • Internet Advice: website development agreements, hosting agreements, website linking agreements, registration and maintenance of domain names and any associated trade marks; subscriber terms and conditions (for business and consumer subscription sites);
  • Online Commerce: agreements and advice on all aspects of E-commerce, M-commerce, T-commerce, security, payment, advertising and fulfilment; online retail businesses; negotiation of agreements for the use of online credit card and other payment mechanisms; negotiation of fulfilment agreements for the fulfilment of orders for goods/services in accordance with applicable legislation; advice on all associated legislation.
